This Sponsor Agreement is between Cuoroom Inc. ("Cuoroom," "we," "us") and the company or individual identified in the approved sponsorship request ("Sponsor," "you"). By submitting a sponsorship request and completing payment, you agree to these terms.
Cuoroom grants the Sponsor a limited right (not exclusive, not transferable) to have its brand displayed on the Konpe platform during the agreed sponsorship period. Cuoroom controls all aspects of placement, including sizing, position, rotation among multiple sponsors, and display context. Cuoroom may reject or remove any creative materials at its sole discretion if they do not meet Konpe's standards.
Cuoroom may suspend or terminate this sponsorship at any time, with or without notice, if the Sponsor becomes associated with news, conduct, or information that conflicts with Konpe's values or could harm the reputation of Konpe or Cuoroom.
A 1 dollar charge at submission validates and saves your card and is credited toward the sponsorship fee. On approval the remaining balance (the event price plus any extra, minus the 1 dollar) is charged to your saved card. If we decline your request, the 1 dollar is refunded.
The Konpe platform is provided "as is." Cuoroom makes no guarantee of minimum impressions, player counts, or tournament outcomes. Sponsorship fees are for placement rights, not for any specific performance result.
To the fullest extent permitted by applicable law, Cuoroom Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to this sponsorship. Our total cumulative liability shall not exceed the amount paid by the Sponsor under this agreement.
This agreement is governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under this agreement shall be resolved exclusively in the state or federal courts located in Delaware.
Cuoroom may update this agreement from time to time. Material changes will be noted with an updated version identifier. Continued use of Konpe sponsorship features after changes are posted constitutes your acceptance of the revised agreement.
